Accordingly, unless expressly agreed in writing, Imperious Marketing does not guarantee specific search rankings, traffic levels, leads, sales, advertising results or revenue.

Any projections or estimates provided during discussions are indicative and are not guarantees of future results.

5. Website Development Services

For website development projects, the agreed scope, functionality, content, integrations, deadlines and deliverables will be determined according to the applicable proposal, quotation, statement of work or client agreement.

Additional requirements outside the agreed scope may result in additional fees or changes to the delivery timeline.

The client is responsible for providing accurate information, required content, credentials and approvals within the agreed timeframe.

6. Shopify, E-Commerce and Third-Party Platforms

Where Imperious Marketing works with third-party platforms such as Shopify, WordPress, Google, Meta or other technology providers, the services are also subject to the relevant platform’s terms and policies.

Imperious Marketing does not control third-party platforms and cannot guarantee their continued availability, functionality, pricing or policies.

Clients remain responsible for ensuring that their products, services, pricing, business practices and website content comply with applicable laws and platform policies.

7. Advertising Services

For advertising services, including Google Ads and Meta Ads, advertising budgets are separate from Imperious Marketing’s professional service fees unless expressly agreed otherwise.

Advertising performance may vary based on budget, competition, audience, market demand, creative assets, landing pages, tracking configuration, platform algorithms and platform policies.

We do not guarantee a specific number of impressions, clicks, leads, conversions, sales or return on advertising spend unless a specific contractual guarantee has been expressly agreed in writing.

8. Client Responsibilities

Clients are responsible for providing accurate and lawful information and materials required for the provision of services.

The client confirms that they have the necessary rights, licences and permissions to provide any content, images, logos, trademarks, text, videos, data or other materials supplied to Imperious Marketing.

The client remains responsible for the legality of their business, products, services, claims, offers and customer-facing content unless a specific legal compliance service has been expressly agreed.

9. Fees and Payment

Fees, payment schedules and billing arrangements will be specified in the applicable quotation, proposal, invoice or service agreement.

Unless otherwise agreed:

• Work may commence after the required initial payment or confirmation.

• Additional work outside the agreed scope may be charged separately.

• Third-party costs, subscriptions, advertising spend, hosting, domains, plugins, applications and other external services may be charged separately.

• Late payments may result in suspension or delay of services.

Applicable taxes, including VAT where legally applicable, will be handled in accordance with applicable Spanish and European tax requirements.

10. Intellectual Property

Unless otherwise agreed in writing, Imperious Marketing retains ownership of its pre-existing materials, methodologies, systems, templates, frameworks, processes, tools and know-how.

Upon full payment of the agreed fees, the client will receive the rights to use the final deliverables specifically created for the client according to the applicable project agreement.

Third-party materials, plugins, fonts, stock images, software, applications, themes and other licensed resources remain subject to their respective licence terms.

11. Portfolio and Marketing Use

Unless otherwise agreed in writing, Imperious Marketing may reference completed client projects in its portfolio, case studies or marketing materials.

Where appropriate, we may display the client’s business name, publicly available branding or screenshots of completed work for portfolio purposes.

Clients may request that specific projects or confidential information not be publicly displayed by contacting us.

12. Confidentiality

Both parties should treat confidential business, technical, financial and strategic information received from the other party as confidential.

Confidential information will not intentionally be disclosed to third parties except where required by law, necessary to provide agreed services, publicly available through no breach of confidentiality, or authorised by the relevant party.

13. Third-Party Services

Imperious Marketing may use third-party providers to deliver certain aspects of its services, including hosting providers, domain providers, analytics platforms, advertising platforms, email providers, design and development tools, payment providers and SaaS platforms.

Imperious Marketing is not responsible for failures, outages, policy changes or service interruptions caused solely by third-party providers.

14. Website Availability

We aim to keep the website available and functioning properly. However, we do not guarantee uninterrupted or error-free access.

The website may occasionally be unavailable because of maintenance, updates, hosting issues, security incidents, technical failures or third-party service interruptions.

Imperious Marketing will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, major internet or infrastructure failures, cyber incidents, governmental actions, strikes, third-party platform outages or other extraordinary events.

17. Suspension or Termination

Either party may terminate a service relationship according to the terms of the applicable service agreement.

Imperious Marketing may suspend services where reasonably necessary because of non-payment, material breach, unlawful activity, security risks or misuse of our systems or services.

Termination does not automatically eliminate payment obligations already incurred.

18. Links to Third-Party Websites

Our website may contain links to external websites.

These links are provided for convenience or informational purposes. Imperious Marketing does not necessarily endorse or control the content, availability or privacy practices of third-party websites.

19. Privacy
